Jiangsu Nhwa Pharmaceutical has granted newly formed US biotech Somnivera exclusive rights to develop, manufacture and commercialize a clinical-stage sleep disorder drug candidate outside Greater China, according to Thepharmaletter.

Thepharmaletter reported that Jiangsu Nhwa is a Chinese pharmaceutical company focused on central nervous system therapies. The reported agreement covers a sleep disorder candidate at the clinical stage.

Rights outside Greater China

Under the licensing arrangement, Somnivera receives exclusive rights outside Greater China for development, manufacturing and commercialization of the candidate. Jiangsu Nhwa has licensed those rights to Somnivera while the licensed territory remains outside Greater China.

The transaction places Somnivera in charge of activities specified in the agreement across the licensed geography. Thepharmaletter identified development, manufacturing and commercialization as part of the rights granted to Somnivera.

Reported deal value

Thepharmaletter said the deal is worth up to $517.5 million. The report characterized the arrangement as a licensing deal between Jiangsu Nhwa and Somnivera for the clinical-stage sleep disorder program.

For pharmaceutical and biotech sales professionals, the announcement highlights a cross-border licensing structure involving a Chinese CNS-focused pharmaceutical company and a newly formed US biotech. The arrangement separates the licensed rights outside Greater China from the Greater China territory.

Partnership focus

The partnership centers on a sleep disorder drug candidate and the transfer of exclusive rights for a defined territory. Somnivera’s licensed scope includes the candidate’s development, manufacturing and commercialization outside Greater China, as reported by Thepharmaletter.

Thepharmaletter’s report provides the stated potential value and identifies both companies’ roles in the agreement. Jiangsu Nhwa is the licensor, while Somnivera holds the exclusive rights outside Greater China.
